Terms of Service

Welcome to PLAYCODE3, operated by PLAYCODE3 LLC ("we," "us," or "our"). These Terms of Service ("Terms") govern your use of the Screenplay Assistant™ application, the website at playcode3.ai, and any other applications and services we provide (together, the "Services"). By accessing or using any of the Services, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account or using the Services, you agree to these Terms of Service and our Privacy Policy. If you do not agree, do not use the Services.

Eligibility. You must be at least 13 years old to use Screenplay Assistant™ (or older where your local law requires a higher minimum age — for example, 16 in parts of the European Economic Area), and you must have the legal capacity to enter into this agreement. If you are under the age of majority where you live, you may use the application only with the involvement of a parent or legal guardian who agrees to these Terms on your behalf.

2. About PLAYCODE3 and Trademarks

PLAYCODE3 LLC is a New York limited liability company. PLAYCODE3® is our registered wordmark and logo (USPTO Reg. No. 88891593). Screenplay Assistant™ is our trademark used in connection with our screenplay-writing software. Use of any of our trademarks without prior written permission is prohibited.

3. Your Account

You are responsible for maintaining the security of your account. Screenplay Assistant™ supports sign-in with Google, Apple, Microsoft, or a one-time email link or code; The Café may additionally be used through limited anonymous guest access. You must not share your account or allow unauthorized access, and you are responsible for all activity that occurs under your account.

4. Ownership of Your Content

You retain full ownership of all original creative content you create using Screenplay Assistant™, including screenplays, scenes, characters, dialogue, and story elements. PLAYCODE3 LLC does not claim any ownership rights, intellectual property rights, or licensing rights to your creative work.

AI-assisted formatting and enhancements provided by the application do not transfer any ownership rights. Your screenplays remain entirely yours.

As between you and PLAYCODE3 LLC, you own the images, storyboards, avatars, and video clips you generate with the application, to the extent ownership is available under the terms of the underlying AI providers. AI-generated output is provided on an "as is" basis; you are responsible for reviewing it and for ensuring that your use of it does not infringe the rights of others.

You are responsible for ensuring the content you create is your own original work, or content you otherwise have the right to use. You agree not to submit, generate, or request material that infringes the copyright, trademark, or other intellectual-property rights of a third party — including recognizable characters, settings, logos, or brands from existing franchises, films, games, or other works you do not own or have permission to use. The ownership protections above apply to your original creative work, not to third-party intellectual property you introduce. Because Screenplay Assistant™ relies on third-party AI image and video providers, requests that appear to depict third-party intellectual property may be automatically refused by those providers' safety systems.

5. Website Content and Intellectual Property

All content on the playcode3.ai website, including text, graphics, logos, images, layouts, and code, is owned by or licensed to PLAYCODE3 LLC and is protected by United States and international copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, modify, or create derivative works from any content on this website without our prior written permission, except for ordinary browser caching and personal viewing.

6. AI-Powered Features

Screenplay Assistant™ uses third-party AI and infrastructure services — including, but not limited to, OpenAI and Anthropic (text and image processing and content moderation), Fal.ai (AI video and image generation), and a third-party voice provider (Table Read audio) — to provide screenplay formatting, story parsing, character inference, image generation (portraits, storyboard panels, and Café avatars), the Atticus in-app screenwriting companion, and other creative assistance features. The current list of service providers is described in our Privacy Policy. By using these features:

  • You acknowledge that your text is sent to third-party AI services for processing
  • You understand that AI-generated suggestions are tools to assist your creative process, not replacements for professional judgment
  • You are responsible for reviewing and approving all AI-assisted output before use
  • We do not guarantee the accuracy, completeness, or suitability of AI-generated content

6a. Document-Preparation Tools (Protect Your Script)

Screenplay Assistant™ offers a "Protect Your Script" wizard that provides general information about U.S. Copyright Office and Writers Guild of America (WGA) registration and helps you prepare registration-ready data. By using this feature you acknowledge:

  • The wizard provides general information and document-preparation tools. It is NOT legal advice.
  • We do NOT file with the U.S. Copyright Office, WGA, or any other authority on your behalf — you file yourself using the official portals we link to.
  • You are solely responsible for the accuracy of information you submit to official registration offices.
  • We make no warranty that any registration will be accepted, granted, or enforceable.
  • For legal advice on copyright, infringement, fair use, or any other legal matter, consult a licensed attorney.
  • Receipts you log inside the app are stored with your project for your reference only and are not authoritative.

7. Acceptable Use

You agree not to:

  • Use the Services for any unlawful purpose
  • Attempt to access other users' accounts or data
  • Attempt to gain unauthorized access to any portion of the website or its underlying systems
  • Reverse engineer, decompile, or disassemble the application
  • Use automated tools to scrape or extract data from the Services
  • Interfere with or disrupt the Services' infrastructure
  • Upload content that contains malware, viruses, or harmful code
  • Misrepresent yourself or impersonate any person or entity in communications with us
  • Generate, request, or upload content that infringes a third party's copyright, trademark, or other intellectual-property rights — for example, recognizable characters, logos, or brands from an existing franchise, film, or video game that you do not own or have permission to use
  • In community features such as The Café: harass, threaten, or abuse others; post hateful, sexually explicit, or illegal content; spam; impersonate any person; or post images you do not have the right to share

7a. The Café (Community Chatroom)

Screenplay Assistant™ includes an optional public community chatroom ("The Café"). Participation is voluntary, and by taking part you agree to the following:

  • The Café is public. The messages, display name, avatar, status line, images, GIFs, and poll responses you post are visible to all other participants, including unregistered guests. Do not post anything you wish to keep private.
  • You are responsible for everything you post, and you represent that you have the right to post it. The conduct rules in Section 7 apply to all Café activity.
  • We may moderate The Café using automated and human review. We may remove any content and may warn, mute, suspend, time-out, or permanently ban any participant (registered or guest), at our discretion, to enforce these Terms or protect the community.
  • Content posted by other participants belongs to them, not to us; it does not represent the views of PLAYCODE3 LLC, and we do not endorse it.

License for Café content. You keep ownership of what you post in The Café. To operate the chatroom, you grant PLAYCODE3 LLC a worldwide, non-exclusive, royalty-free license to host, store, reproduce, display, and distribute the content you post (including messages, uploaded images, and AI-generated avatars) to other participants, and to process it for moderation and safety. This license exists solely to run the community feature and ends when you delete the content or it is removed, except for copies retained in routine backups or as required by law.

8. Account Access

Screenplay Assistant™ is open to anyone with an email address. By using the service you agree that:

  • Your account may be revoked at any time, with or without notice, for abusive, automated, or fraudulent use
  • Your account is personal and non-transferable. You may not share, resell, lease, or grant access to your account
  • Features may be added, changed, removed, or replaced as the product evolves
  • You should regularly export your projects (TXT, PDF, or backup file) to keep your own copies — we strongly recommend exporting after every significant work session
  • You may not use Screenplay Assistant™ outputs (formatted screenplays, AI suggestions, Muse responses, Story Lab content, Pacing Marker assessments) as the basis of a competing product or service, embed them in a commercial product you sell, or train a separate AI model on them
  • You may not scrape, mirror, or systematically extract content, prompts, or data from the application. Automated, bulk, or non-human-driven use of AI features is prohibited
  • We may impose rate limits, throttling, or temporary blocks on usage we determine to be abusive, automated, or outside reasonable individual use, at our sole discretion

8.1 Export Footer

Every export (TXT and PDF) includes a small credit footer identifying Screenplay Assistant™ and PLAYCODE3.ai. By default, the footer also includes your first name (taken from your account) so that anyone the file is shared with can see it originated from you. This is disclosed in the Export modal each time. You may disable the personalized portion in Settings → Export Footer; the application credit remains.

9. Payments and Subscriptions

Screenplay Assistant™ offers a free Spark plan plus three paid subscription tiers: Writer ($15/month, or $12/month billed annually), Storyteller ($35/month, or $29/month billed annually), and Studio ($99/month, or $79/month billed annually). Each paid tier includes a monthly allowance of AI video clips and Table Read (voice) generations. You can also buy one-time credit packs that never expire. Current prices and plan details are shown in the application before you subscribe.

  • Payments are processed by Stripe, Inc. We never see or store your full card number.
  • Subscriptions renew automatically each billing period (monthly or annual) until you cancel.
  • You can manage or cancel your subscription at any time from the Stripe customer portal (Your Plan → Manage subscription). Cancellation takes effect at the end of your current billing period; you keep paid access until then, after which your account returns to the free Spark plan.
  • When you move to a lower tier, projects beyond the new plan's limit become read-only (still viewable and exportable) rather than deleted.
  • Credits and any referral free months are non-cashable and non-transferable.
  • Referral rewards are offered at our discretion for genuine referrals of new users. We may withhold or revoke referral credit, and may modify or end the referral program at any time, in cases of self-referral, duplicate or fake accounts, or other abuse.

Cancellation and refund terms are described in our Cancellation and Refund Policy below. Aside from the limited exceptions stated there, purchases are final. For any billing question, contact support@playcode3.ai.

10. Cancellation and Refund Policy

10.1 Cancellation. You may cancel any paid subscription at any time from your account's Manage Subscription page (Stripe Customer Portal). Cancellation takes effect at the end of your current billing period. You keep full paid-tier access until that end date; no partial refunds are issued for the unused portion.

10.2 After cancellation. When your paid period ends, your account drops to the free Spark plan. Your projects, characters, storyboards, and rendered videos remain in your account permanently and remain viewable. The Spark plan permits one active project for new editing; additional projects from your paid plan remain accessible in read-only mode until you re-subscribe, archive them, or delete them.

10.3 Refund policy. All purchases are final. We do not refund partial periods, unused video credits, or AI usage. Two exceptions:

  • Mistaken purchase (7-day window). If you contact support@playcode3.ai within 7 calendar days of a charge and have not used the paid features (no AI video clips rendered, no paid-only features used such as Final Draft (.fdx) export), we will refund the full amount.
  • Service-failure goodwill. If a confirmed bug or outage on our side prevented use during a billing period, we may issue bonus video credits or a partial credit at our discretion. Service-failure goodwill is not guaranteed and is not a contractual right.

10.4 Video credit packs. Credit pack purchases are final and non-refundable. Unused credits never expire and remain on your account through plan changes and cancellations.

10.5 Upgrades and downgrades.

  • Upgrade. Takes effect immediately. You are charged a prorated amount for the remainder of the current billing period at the new tier's rate.
  • Downgrade. Takes effect at the end of the current billing period. No partial refunds.

10.6 Account closure. You may close your account at any time by emailing support@playcode3.ai from the email tied to your account. All projects, characters, and generated assets are permanently deleted within 30 days. Active subscriptions are cancelled. No refunds are issued for closure mid-period.

11. Links to Our Apps and Other Sites

This website may link to apps we publish or to third-party websites. Apps we publish are governed by these Terms together with any app-specific terms presented in-app. Third-party websites are governed by their own terms; we are not responsible for the content or practices of third-party websites.

12. Service Availability

We strive to keep Screenplay Assistant™ available at all times, but we do not guarantee uninterrupted access. The application may be temporarily unavailable for maintenance, updates, or due to circumstances beyond our control. We are not liable for any loss of data or productivity due to service interruptions.

13. No Warranty

The Services are provided on an "as is" and "as available" basis without warranties of any kind, either express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Services will be uninterrupted, error-free, secure, or free of viruses or other harmful components.

14. Limitation of Liability

The Services are provided "as is" and "as available" without warranties of any kind, either express or implied. To the fullest extent permitted by law, PLAYCODE3 LLC, its members, employees, and contractors shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages arising from or relating to your use of the Services, even if we have been advised of the possibility of such damages. For paid Services, our total liability shall not exceed the amount you paid for the service in the 12 months preceding the claim; for use of the website and other unpaid Services, our total cumulative liability shall not exceed one hundred U.S. dollars (US$100).

15. Indemnification

You agree to indemnify and hold harmless PLAYCODE3 LLC and its members, employees, and contractors from any claim, demand, loss, or damage, including reasonable attorneys' fees, arising out of your breach of these Terms or your misuse of the Services.

16. Termination

We reserve the right to suspend or terminate your account at any time for violation of these Terms. You may delete your account and data at any time. Upon termination, your right to use the application ceases immediately, but your ownership of creative content you have exported remains unaffected.

17. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by updating the "Last updated" date. Continued use of the Services after changes constitutes acceptance of the updated Terms.

18. Governing Law and Venue

These Terms are governed by the laws of the State of New York, United States, without regard to conflict of law provisions. You agree that the exclusive venue for any dispute arising from these Terms or your use of the Services shall be the state or federal courts located in Suffolk County, New York, and you consent to the personal jurisdiction of those courts.

19. Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
